TeamBoost365 provides offshore and managed professional teams, creative and operational services, and AI-assisted workflows. Specific services, scope, timelines, and deliverables are defined in written proposals, agreements, or statements of work.

3. Independent Contractor Relationship

All personnel provided by TeamBoost365 remain employees or contractors of TeamBoost365 or its affiliates. Nothing herein creates an employment, partnership, or joint venture relationship between the client and TeamBoost365 personnel.

4. Client Responsibilities

Clients agree to:

• Provide accurate and timely information

• Clearly define requirements and objectives

• Cooperate reasonably throughout service delivery

• Use services in compliance with applicable laws

Delays caused by incomplete information or approvals may impact timelines.

5. Intellectual Property

a. Client Materials

Clients retain ownership of materials they provide to TeamBoost365.

b. Deliverables

Upon full payment, clients receive rights to final deliverables created specifically for them, unless otherwise agreed in writing.

TeamBoost365 retains ownership of pre-existing tools, methodologies, templates, systems, and know-how.

6. Confidentiality

Both parties agree to protect confidential information and not disclose it to third parties except as required to perform services or by law.

7. Fees & Payments

Fees and payment terms are defined in written agreements. Failure to pay may result in suspension or termination of services.

8. AI-Assisted Services

Some services may involve AI-assisted tools operated under human oversight. TeamBoost365 does not guarantee outcomes generated by third-party tools and remains responsible only for services expressly defined in written agreements.

9. Limitation of Liability

To the maximum extent permitted by law:

• TeamBoost365 is not liable for indirect, incidental, or consequential damages

• Total liability shall not exceed the fees paid to TeamBoost365 in the three (3) months preceding the claim

10. Website Use

You agree not to misuse the website, attempt unauthorized access, or interfere with its operation or security.

11. Termination

We may suspend or terminate access to the website or services for breach of these Terms or applicable agreements.

12. Governing Law

These Terms are governed by applicable laws of Tier-A jurisdictions, without regard to conflict-of-law principles, subject to any written service agreement.
